These Terms of Service (“Terms”) govern access to and use of BroviFlow and related websites or applications (collectively, the “Service”) provided by Brovitech Solutions LLP (“Brovitech,” “we,” “us,” or “our”). By creating an account, registering an organization, or using the Service, you (“you,” Customer, or User”) agree to these Terms and our Privacy Policy.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
1. The Service
BroviFlow is a cloud software platform for operations including, depending on configuration, human resources, hiring, sales, accounting, projects, support tickets, assets, and related workflows. Features may change over time. Some capabilities depend on third-party infrastructure (e.g., hosting, authentication) or optional integrations.
2. Eligibility
You must be at least the age of majority in your jurisdiction and capable of entering a binding contract. You may not use the Service if you are prohibited from receiving services under applicable law.
3. Accounts & organizations
- You must provide accurate registration information and keep it current. You are responsible for activity under your credentials unless caused by our gross negligence.
- Administrators may invite users, assign roles, and configure org settings. Administrators are responsible for their users’ compliance with these Terms.
- We may suspend or terminate access for breach of these Terms, non-payment (if applicable), or risk to security or third parties.
4. Customer data & license to operate
You retain rights to data you submit to the Service (“Customer Data”). You grant Brovitech a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely as needed to provide, secure, and improve the Service and as described in our Privacy Policy—subject to your configuration and applicable law.
You represent that you have all rights and consents necessary to submit Customer Data and to grant the foregoing license, including for personal data of employees, candidates, and contacts.
5. Acceptable use
You agree not to:
- Violate any law or infringe third-party rights;
- Upload malware, probe or scan systems without authorization, or interfere with the Service’s integrity or performance;
- Attempt to access data or accounts you are not authorized for, or circumvent security or usage limits;
- Use the Service to send unsolicited bulk communications in violation of anti-spam laws, or to build a competing product by systematic extraction of our UI or APIs outside permitted use;
- Use the Service in any manner that could harm minors, harass others, or distribute unlawful content.
We may investigate violations and cooperate with law enforcement. Certain high-risk activities may require additional agreements or configuration.
6. AI features
Optional AI-assisted features (e.g., lead analysis, draft text) generate outputs based on inputs you provide and configuration your organization enables. Outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before business or legal reliance. AI features may rely on subprocessors; see our Privacy Policy. We do not guarantee uninterrupted availability of any specific model or provider.
7. Third-party services
The Service may integrate with or link to third-party services. Those services are governed by their own terms. We are not responsible for third-party content or availability.
8. Fees & trials
If you purchase a paid plan, fees, billing cycle, and taxes are as stated in your order, checkout, or invoice. We may change pricing with reasonable notice where permitted. Free or trial access may be limited or withdrawn. Failure to pay may result in suspension.
9. Intellectual property
The Service, including software, branding, documentation, and our proprietary methods, is owned by Brovitech or its licensors. Except for the limited rights expressly granted, no rights are transferred to you. Feedback you provide may be used without obligation to you.
10. Confidentiality
Each party may receive non-public information of the other (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only for the purposes of these Terms. Exclusions include publicly available information or independently developed data.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROVITECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROVITECH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) A NOMINAL SUM WHERE NO FEES WERE PAID, EXCEPT WHERE PROHIBITED BY LAW.
13. Indemnity
You will defend and indemnify Brovitech against claims, damages, and costs (including reasonable attorneys’ fees) arising from Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights—except to the extent caused by our breach or gross negligence.
14. Term & termination
These Terms apply from first use until terminated. You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or non-payment. Upon termination, your right to access ceases; provisions that by nature should survive (e.g., liability limits, indemnity, governing law) survive. Data handling after termination is described in our Privacy Policy and your subscription terms.
15. Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules, subject to mandatory consumer protections in your jurisdiction. Courts at a competent venue in India shall have exclusive jurisdiction, unless applicable law requires otherwise. You may also have mandatory rights in your country of residence.
16. Changes
We may modify these Terms by posting an updated version and updating the “Last updated” date. Material changes may require additional notice where required by law. Continued use after the effective date constitutes acceptance of the revised Terms.
17. Miscellaneous
- Entire agreement: These Terms and referenced policies constitute the entire agreement regarding the Service unless you have a separate signed agreement with Brovitech, which prevails on conflicting points.
- Assignment: You may not assign these Terms without our consent; we may assign in connection with a merger or sale of assets.
- Severability & waiver: If a provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
- Force majeure: We are not liable for delays or failures due to events beyond reasonable control.
